Tesla sets December 3 shareholder meeting; Musk, Denholm and Straubel are board nominees

Tesla has scheduled its 2026 annual shareholder meeting for December 3. According to the definitive proxy statement filed on October 19, the meeting will begin at 3:00 p.m. Central Time. It will be held online, with a limited number of shareholders also able to attend in person at Gigafactory Texas in Austin.

The board nominees

The board is asking shareholders to re-elect Elon Musk, board chair Robyn Denholm and JB Straubel. All three have been nominated as Class I directors for new three-year terms, ending at the 2029 annual meeting or when their successors are elected. This is the board’s recommendation; the re-election has not yet taken place.

The agenda also includes a non-binding advisory vote on 2025 executive compensation and a proposal to ratify PricewaterhouseCoopers LLP as Tesla’s independent auditor for 2026.

Who can vote

Shareholders who held Tesla stock at the close of business on October 13, 2026 are eligible to participate. Tesla encourages shareholders to vote in advance, whether or not they plan to attend the meeting. The company has posted the details and voting instructions in its proxy statement on the Investor Relations page.

The vote results will be known after the meeting. Until then, describing the nominees as re-elected or the proposals as approved would be premature.
